CHANGE OF COMPANY SECRETARY, AUTHORISED REPRESENTATIVE AND
AGENT FOR THE SERVICE OF PROCESS IN HONG KONG
With effect from 1 October 2013, Ms. Tam has resigned as the Secretary and ceased to be an Authorised Representative and the Process Agent; and Ms. Cheung has been appointed as the Secretary, an Authorised Representative and the Process Agent.
The board of directors (the “Board”) of NetDragon Websoft Inc. (the “Company”) announces
the following changes in the Company with effect from 1 October 2013:-

Ms. Tam Hon Shan, Celia (“Ms. Tam”) has resigned as the company secretary (the
Secretary”) and ceased to be an authorised representative (the “Authorised
Representative
”) under Rule 3.05 of the Rules Governing the Listing of Securities (the
Listing Rules”) on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”)
and the authorised person to accept service of process and notices on the Company’s
behalf in Hong Kong as required under Rule 19.05(2) of the Listing Rules (the “Process
Agent
”).
Ms. Cheung Yuet Fan (“Ms. Cheung”) has been appointed as the Secretary, an
Authorised Representative and the Process Agent.
Ms. Tam confirmed that there is no disagreement with the Board and that there are no matters relating to her resignation that should be brought to the attention of the Stock Exchange and/or the shareholders of the Company. Ms. Cheung is a senior manager of the Corporate Services Division of Tricor Services Limited, a global professional services provider specializing in integrated business, corporate and investor services. She is a Chartered Secretary and an Associate of both The Hong Kong Institute of Chartered Secretaries and The Institute of Chartered Secretaries and Administrators in United Kingdom. Prior to joining the Tricor Group, Ms. Cheung has worked in the role of company secretary and corporate governance area in various Hong Kong listed companies and the company secretarial department of Deloitte Touche Tohmatsu in Hong Kong. She has over 20 years of extensive experience in corporate services field and has been providing professional corporate services to different clients. The Board would like to take this opportunity to express its appreciation to Ms. Tam’s valuable contribution to the Company during her tenure of office and extend a warm welcome to Ms. Cheung.
